These Terms and Conditions govern your use of the Conveya platform operated by Conveya Technologies Ltd. Please read them carefully. By using the Service, you agree to be bound by these Terms.

Acceptance of Terms

By accessing or using the Conveya platform ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after any such changes constitutes your acceptance of the new Terms.

Service Description

Conveya is a B2B software-as-a-service (SaaS) platform that provides operational tools for real estate companies. The Service includes property listing management, payment plan configuration, payment recording and tracking, realtor and commission management, document generation, and customer portal functionality.

Conveya Technologies Ltd ("we", "us", "our") is a software vendor only. We do not participate in, facilitate, hold, receive, transmit, or intermediate any financial transactions between your company and its customers or realtors. All payments flow directly between your business and the relevant parties through your own bank accounts or payment gateway accounts.

We are not a financial institution, payment service provider, or merchant of record for any transaction between your business and its customers or realtors.

Account Registration and Security

To access the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorised use of your account or any other breach of security.

Each organisation account may have multiple user accounts with role-based access. You are responsible for ensuring that all users within your organisation comply with these Terms.

We reserve the right to suspend or terminate accounts that we believe have been compromised or are being used in violation of these Terms.

Subscription and Billing

Access to the Service is provided on a subscription basis. Subscription fees are billed monthly or annually in advance, depending on your chosen plan. All fees are quoted in Nigerian Naira (NGN) unless otherwise stated.

A 14-day free trial is available for new organisations. No credit card is required for the trial period. At the end of the trial, you must subscribe to continue using the Service.

Subscription fees are non-refundable except where required by applicable Nigerian law. If you downgrade your subscription, the downgrade will take effect at the end of your current billing period.

We reserve the right to change our pricing at any time. We will provide at least 30 days' written notice before any price increase takes effect for existing subscribers.

Failure to pay subscription fees may result in suspension or termination of your access to the Service.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

(a) In any way that violates any applicable Nigerian law or regulation, including the Companies and Allied Matters Act, the Nigeria Data Protection Act, or FIRS regulations.

(b) To transmit any unsolicited or unauthorised advertising or promotional material.

(c) To impersonate any person or entity or misrepresent your affiliation with any person or entity.

(d) To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service.

(e) To attempt to gain unauthorised access to any portion of the Service or any other systems connected to the Service.

(f) To use the Service to record, track, or process transactions that are fraudulent, misrepresented, or in violation of any law.

Your Data and Our Obligations

You retain ownership of all data you input into the Service ("Customer Data"), including customer information, property details, transaction records, and documents.

You grant us a limited licence to process your Customer Data solely for the purpose of providing the Service to you. We will not sell, rent, or share your Customer Data with third parties except as required to provide the Service or as required by law.

We will maintain reasonable technical and organisational measures to protect your Customer Data against unauthorised access, loss, destruction, or alteration. See our Privacy Policy for further details.

Upon termination of your subscription, you may request an export of your Customer Data in a machine-readable format. We will retain your data for 90 days after termination before deletion, unless legally required to retain it longer.

Intellectual Property

The Service, including all software, algorithms, user interfaces, designs, text, graphics, and other content, is owned by Conveya Technologies Ltd and is protected by Nigerian and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service during your subscription period, solely for your internal business purposes.

You may not copy, modify, distribute, sell, or lease any part of the Service or its content, nor may you reverse-engineer or attempt to extract the source code of any part of the Service.

All trademarks, logos, and service marks displayed on the Service are the property of Conveya Technologies Ltd or their respective owners. You may not use any of our trademarks without our prior written consent.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not warrant the accuracy, completeness, or reliability of any information provided through the Service.

We are not responsible for any decisions you make based on information provided through the Service, including commission calculations, payment records, or analytics data. You are responsible for verifying the accuracy of all information and for maintaining your own records.

We are not responsible for the acts or omissions of any payment provider, bank, or other third party whose services may be integrated with or referenced by the Service.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE NIGERIAN LAW, CONVEYA TECHNOLOGIES LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for any claims arising from or related to the Service shall not exceed the total amount of subscription fees paid by you in the three (3) months immediately preceding the event giving rise to the claim.

These limitations apply regardless of whether the claim is based on contract, tort, statute, or any other legal theory, and even if we have been advised of the possibility of such damages.

Indemnification

You agree to indemnify, defend, and hold harmless Conveya Technologies Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

Termination

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of your current billing period.

We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach any provision of these Terms or if we determine that your use of the Service poses a risk to the Service or other users.

Upon termination, your right to use the Service will immediately cease. The following provisions will survive termination: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.

Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be subject to good-faith negotiation between the parties. If such negotiation fails, the dispute shall be submitted to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

You agree that any claim or cause of action arising from these Terms or the Service must be filed within one (1) year after the cause of action arose, or it will be permanently barred.

General

These Terms constitute the entire agreement between you and Conveya Technologies Ltd regarding the Service and supersede all prior agreements and understandings, whether written or oral.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights under these Terms without restriction.
